Terms of Service

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Services. The Services are intended for business use only, by individuals and entities operating or seeking to operate a freight dispatch, brokerage, factoring, or commercial transportation business. Motor Carrier Leads is a business-to-business (B2B) service and is not intended for personal, household, or consumer use. By using the Services, you represent that you are using them in connection with a business purpose.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Motor Carrier Leads provides a subscription-based lead intelligence platform and software tools for freight dispatchers, brokers, and carriers, which may include:

• Automated daily 8:30 AM US Central motor carrier lead ingestion and email dispatch;
• Decision-maker contact intelligence, including direct owner/principal phone numbers and emails;
• A visual 4-stage Kanban prospecting CRM (New Leads, Contacted, Quoted, Won) with custom lead notes;
• Granular 50-state targeting, operating scope filtering, and equipment minimum queries;
• Unlimited CSV lead downloads and spreadsheet export features; and
• Related software features, cold outreach setup guides, and resources.

We may add, modify, or discontinue features of the Services at any time.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current information when creating an account and to update it as needed. Notify us immediately at support@motorcarrierleads.xyz if you suspect unauthorized access to or compromise of your account.

4. Subscription, Billing, and Cancellation

• Annual Plan & Billing. The Services are provided on an annual subscription basis ($299 / year). Your subscription will automatically renew at the end of each annual billing cycle unless canceled prior to the renewal date.
• Payment Processing. All payments are processed securely through Stripe. By subscribing, you authorize Motor Carrier Leads (via Stripe) to charge your designated payment method on a recurring annual basis until you cancel.
• Cancellation. You may cancel your subscription renewal at any time directly through the Stripe Customer Portal in your Dashboard Billing tab, or by contacting support@motorcarrierleads.xyz. Cancellation will take effect at the conclusion of your then-current paid annual billing period.
• No Refunds. All payments are non-refundable. You will continue to have full access to the Services through the end of the billing cycle in which you cancel, but no prorated or partial refunds will be issued for unused time.
• Price Changes. We reserve the right to adjust subscription rates. Any rate changes will be communicated in advance and will only apply to future renewal cycles.

5. Your Data and Content

5.1 Data You Submit

As part of using the Services, you may input, upload, or store custom information about your outreach, custom pipeline notes, and contacts ("Customer Data"). You are solely responsible for the accuracy, legality, and appropriateness of any Customer Data you submit.

5.2 Your Legal Responsibilities

You represent and warrant that you have all necessary rights, licenses, and consents to collect, store, and process any information you submit to the Services, and that your outreach complies with all applicable federal, state, and international laws, including telemarketing laws, CAN-SPAM, the TCPA, and data privacy regulations.

5.3 License to Us

You retain ownership of your Customer Data. You grant Motor Carrier Leads a limited, non-exclusive license to host, store, process, and display your Customer Data solely as necessary to provide and improve the Services for your account.

6. Third-Party Services

The Services rely on and integrate with third-party providers, including Stripe (payment processing), Clerk (identity and authentication), and cloud database providers. Your use of these integrated features may also be subject to the applicable third party's own terms and policies. We are not responsible for the acts, omissions, or downtime of third-party providers.

7. Disclaimers & No Guarantee of Results

• Motor Carrier Leads provides commercial lead data and prospecting software tools. We do not guarantee any specific financial success, contract closures, conversion rates, or business outcomes. Closing commercial carrier contracts depends upon your outreach, offerings, and execution.
• Lead data is compiled from official government databases (FMCSA/USDOT) and industry registries. While we strive for accuracy and timely daily delivery, Motor Carrier Leads makes no warranty that lead records are free of typographical errors or changes made by carrier applicants after publication.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including spamming, harassment, or violation of consumer protection or telemarketing laws;
• Attempt to reverse-engineer, decompile, copy, or resell the Software or its underlying codebase;
• Interfere with or disrupt the integrity or security of the Services or servers;
• Use automated bots or scrapers to extract data from the platform beyond normal intended browser and export features;
• Upload malicious code, viruses, or unauthorized scripts; or
• Share account credentials to circumvent individual user licensing.

We reserve the right to suspend or terminate accounts that violate this section.

9. Intellectual Property

The Services, including all proprietary software, design systems, algorithms, trademarks, brand assets, and content provided by Motor Carrier Leads, are owned exclusively by Motor Carrier Leads or its licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights or licenses are transferred to you.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for violation of these Terms, non-payment, or conduct we believe is detrimental to Motor Carrier Leads, other subscribers, or third parties. Upon termination, your right to use the Services will immediately cease.

13. Indemnification

You agree to indemnify and hold harmless Motor Carrier Leads, its officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

14. Dispute Resolution; Binding Arbitration

• Agreement to Arbitrate. You and Motor Carrier Leads agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that either party may assert claims in small claims court if they qualify.
• Class Action Waiver. You and Motor Carrier Leads agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
• Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@motorcarrierleads.xyz within 30 days of first accepting these Terms.

15. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or in-app notification). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Motor Carrier Leads.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision will not be considered a waiver of that right.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate merger, acquisition, or sale of assets.
